Flowity License

1. Definitions
“Flowity” means the Flowity web application
(create.flowity.app), the Flowity plugin for Figma, the Flowity iOS
application, the Flowity MCP server and API, and any other Flowity product surface.
“Output” means any file you export or download from Flowity, in any format we offer, including SVG and PNG.
“We”, “us”, “our” means Kodatex Inc., operator of Flowity.
“You” means the individual or organization exporting the Output. Where Output is exported by an individual acting within the scope of their employment or engagement, “You” includes their employer or client.
2. Standard License
Every Output you export — whether using free credits or purchased credits — comes with a worldwide, perpetual, non-exclusive, royalty-free license to use, reproduce, modify, and distribute that Output as part of a larger work.
What this covers
You may use Output in:
- Websites, web applications, and mobile applications
- Marketing and advertising materials, both digital and print
- Presentations, documents, and reports
- Social media content
- Packaging, merchandise, and physical products
- Video, film, and broadcast content
- Client work, including work you are paid to produce
- Products you sell commercially
- Internal business materials
This applies to personal, commercial, and client projects equally. There is no separate personal or commercial tier.
Client work and pass-through rights
Where you incorporate Output into work you deliver to a client, or into a product or service you make available to end users, you may sublicense the rights granted in this Section to that client and to those end users — solely as the Output is embodied in that work, product, or service, and subject to Sections 3 and 5. Your client and your end users receive no right to extract the Output and use it independently of the work it was delivered in.
Output generated through the API or MCP server
Where you operate a product or service that generates Output through the Flowity API or MCP server on behalf of your own users, each such user receives the Standard License for the Output delivered to them, and you may pass those rights through under the paragraph above. This does not permit you to make Flowity’s generation capability itself available as a product — see Section 5.
Modification
You may modify Output freely — recolor it, crop it, combine it with other assets, edit the vector paths, or use it as a component in a larger composition.
Attribution
Attribution is not required. It is appreciated, never mandatory.
Number of projects
There is no limit on how many projects a single Output may be used in, and no limit on print runs, impressions, downloads, or end users.
3. What the Standard License does not cover
The Standard License permits using Output in something. It does not permit selling Output as the thing.
The following require a separate Resale License:
- Uploading Output to stock asset marketplaces, including but not limited to Adobe Stock, Shutterstock, Getty Images, iStock, Envato Elements, Creative Market, and Freepik
- Selling Output as downloadable asset packs, pattern packs, background bundles, or texture libraries
- Distributing Output in templates, themes, or UI kits sold or distributed to end users, where the Output is substantially what the buyer is paying for. A template, theme, or kit whose value lies in its layout, code, or structure, and which uses Output as background or decoration, is covered by the Standard License.
- Print-on-demand products where the Output, essentially unmodified, is the primary design (for example, a pattern printed across a phone case or notebook cover)
- Minting, selling, or distributing Output as an NFT or other blockchain-recorded asset
- Selling, licensing, or distributing Output as part of a dataset, corpus, or collection intended for machine learning training or evaluation
- Any distribution where the end user’s main purpose in acquiring your product is to obtain the Output itself
The distinguishing test: if a reasonable buyer would say they are buying the artwork, you need a Resale License. If they are buying a website, a brand, an app, a product, or a service that happens to contain the artwork, the Standard License is sufficient.

4. Resale License
A Resale License permits the uses listed in Section 3.
A single Resale License covers all resale uses listed in Section 3. There is no separate tier by platform or marketplace. Pricing is based on the number of Outputs covered.

Terms
- One-time payment; no recurring fee and no revenue share
- Covers the specific Outputs identified at the time of purchase, up to the number licensed. Outputs are identified by the files you supply to us, which we record in the license document by filename and SHA-256 hash.
- Perpetual and worldwide
- Non-exclusive — we may license visually similar Output to others
- No attribution required
- Non-transferable; it applies to you or your organization, and does not pass to a buyer of your business
- Does not permit you to state or imply that we endorse, are affiliated with, or have reviewed your product
- Issued as a signed license document you may keep on file for marketplace verification
Outputs must be identified at purchase. A Resale License does not cover Outputs generated afterward; additional Outputs require an additional license.

Important limitations of a Resale License
We cannot guarantee uniqueness. Flowity generates output deterministically from parametric algorithms, not from a neural network trained on your inputs. Another user selecting the same style, palette, and settings may independently produce a visually similar or substantially identical result. We do not track, reserve, or retire generated results. Stock marketplaces frequently reject duplicate submissions and may penalize contributors who submit them. You accept this risk.
We do not grant exclusivity. No Resale License removes any Output from availability to other users, and we will not issue exclusive rights to any generated result.
Marketplace rules are your responsibility. Stock marketplaces set their own requirements for algorithmically generated content, including disclosure and labeling obligations. Compliance with those requirements is yours to manage. A Resale License from us is not a guarantee that any marketplace will accept your submission.
5. Restrictions applying to all licenses
Regardless of which license you hold, you may not:
- Redistribute Flowity itself. You may not resell, sublicense, redistribute, or make available the Flowity software, its generators, its source code, or its algorithms.
- Reverse engineer. You may not decompile, disassemble, or reverse engineer any part of Flowity, or extract its generation algorithms for use in another product.
- Train machine learning models. You may not use Output, in whole or in part, as training, fine-tuning, or evaluation data for any machine learning or generative model, and you may not use Flowity or its Output to create, train, or operate a competing image or pattern generation service.
- Register Output as a trademark. You may not register any Output, or a work consisting primarily of Output, as a trademark, logo, or design mark. You may use Output as a component within brand materials.
- Claim exclusivity. You may not represent to any third party that you hold exclusive rights to any Output.
- Use Output unlawfully. You may not use Output in material that is unlawful, defamatory, or that infringes the rights of others.
- Circumvent the credit system. You may not bypass, disable, or manipulate credit metering or payment mechanisms.
6. Rights and ownership
Flowity Output is produced by parametric algorithms. The legal status of copyright in algorithmically generated works varies by jurisdiction and remains unsettled in several of them.
Accordingly:
- What we grant is the license set out above: the right to use, reproduce, modify, and distribute Output within the stated scope. This is a contractual grant and is what the license actually gives you.
- What we do not grant is any representation, warranty, or assurance that copyright subsists in any Output, that you own copyright in any Output, or that you may enforce copyright in any Output against a third party.
- We retain all rights in the Flowity software, generators, algorithms, style library, brand, and trademarks. Nothing in this license transfers ownership of any of these.
- You retain all rights in your own contributions — your layouts, compositions, edits, brand elements, and any original work you combine with Output.
If your intended use depends on holding enforceable copyright in the Output, seek independent legal advice before proceeding.
7. Credits
- Credits are consumed at the point of export or download, not at generation.
- Generating variations, changing palettes, and adjusting aspect ratios are always free.
- Re-downloading an Output you have already exported does not consume an additional credit.
- Credits do not expire.
- Credits are non-refundable and non-transferable except where required by law.
- Where you are a consumer in a jurisdiction that grants a statutory right of withdrawal for digital content, credits are made available to you immediately on purchase, and you lose that right once you consume a credit.
- Credits are a metering mechanism, not a separate license grant. All Output carries the Standard License regardless of whether the credit used was free or purchased.
8. No warranty
Flowity and all Output are provided “as is” and “as available”, without warranty of any kind, express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose, non-infringement, uniqueness, originality, or availability.
We do not warrant that Flowity will be uninterrupted or error-free, that any Output will be unique, or that any Output will be accepted by any third-party platform or marketplace.
9. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to Flowity, any Output, or this license shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the event giving rise to the claim, or (b) USD 100.
We shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business, or loss of data, arising out of or relating to Flowity or any Output, even if advised of the possibility of such damages.
Nothing in this section limits liability that cannot be limited under applicable law.
10. Indemnity
You agree to indemnify and hold us harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising from your use or distribution of Output, your breach of this license, or your violation of any third-party rights or platform terms.
11. Termination
This license terminates automatically if you materially breach it.
Where the breach is capable of being cured, this license terminates only if you fail to cure it within 30 days of written notice from us. Breaches of Section 5 may be treated as incurable and terminated immediately.
On termination, you must stop exporting new Output and stop distributing Output in any way that exceeds the license you held. Output already lawfully incorporated into a completed, distributed work before termination may remain in that work.
12. Changes to this license
We may update this license. Changes take effect when published on this page and apply to Output exported after the update.
Output you exported before a change remains governed by the license in effect at the time of export. We will not retroactively narrow rights you already hold. Keep a copy of this page if the terms matter to your business.
We retain dated copies of every published version of this license. If you need the version in effect on a particular date, email support@flowity.app.
13. Relationship to other agreements
This license governs your rights in Output. The Flowity Terms of Service govern your use of Flowity itself. If the two conflict with respect to Output, this license governs.
If you have signed a separate written agreement with us covering the same subject matter, that agreement governs to the extent of any conflict.
14. General
- Severability. If any provision of this license is held unenforceable, that provision is limited or severed to the minimum extent necessary, and the remainder stays in force.
- No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
- Assignment. You may not assign this license without our written consent. We may assign it in connection with a merger, acquisition, or sale of assets.
- Entire agreement. With respect to Output, this license is the entire agreement between you and us, and supersedes any prior statement or understanding.
15. Governing law
This license is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. The courts of Ontario shall have exclusive jurisdiction, subject to any mandatory consumer protection rights available to you in your place of residence.
